By accessing, registering with, or browsing VenturLoop, you represent that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these terms, you must discontinue platform use immediately.
1.1 Age & Capacity
- You must be at least 18 years of age or the age of majority in your jurisdiction to create an account.
- If you register on behalf of a company or legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms.
2. Platform Architecture & Service Boundaries
VenturLoop provides technology infrastructure and community directory tools designed to showcase early-stage startup ventures, log verifiable milestone updates, collect peer founder feedback, and discover ecosystem opportunities.
2.1 Core Free Tier
- Founder profile creation, venture showcase listing, public launch publication, and progress updates are provided without subscription fees.
- Community members may vote, review, and comment on public startup listings subject to our Community Guidelines.
2.2 Optional Paid Guidance Services
- VenturLoop offers optional, on-demand advisory and guidance sessions, including structured pitch deck teardowns, live pitch practice, and verified mentor calls.
- Paid services are billed upfront as standalone transactions and are strictly optional.
3. Non-Financial & Investment Advisory Disclaimer (SEBI / SEC Notice)
VENTURLOOP IS A TECHNOLOGY PLATFORM, NOT A FINANCIAL INTERMEDIARY, BROKER-DEALER, OR REGISTERED INVESTMENT ADVISOR.
3.1 Explicit Statutory Disclaimers
- No Securities Transactions: VenturLoop does not process investment capital, issue securities, hold investor escrow funds, or solicit public offerings of equity.
- No SEBI / SEC Registration: VenturLoop is not registered under the Securities and Exchange Board of India (SEBI) or the US Securities and Exchange Commission (SEC) as an Investment Adviser, Research Analyst, or Portfolio Manager.
- No Guaranteed Outcomes: Showcasing a venture on VenturLoop does not guarantee fundraising success, investor introduction, customer acquisition, or financial returns.
- Independent Due Diligence: Community members and founders are exclusively responsible for conducting their own legal, financial, and regulatory due diligence.
4. Account Registration, Security & Authenticity
To access platform features, you must maintain an authentic, verifiable user account and protect your authentication tokens.
4.1 Founder Representations
- Authentic Data: You warrant that all information, traction metrics, team background, and startup representations uploaded are truthful, accurate, and non-deceptive.
- Single Account: Impersonating other founders, creating false company affiliations, or operating deceptive duplicate accounts is strictly prohibited.
- Credential Confidentiality: You are solely responsible for maintaining the confidentiality of your credentials and for all actions executed under your session.
5. Intellectual Property Rights & Ownership
We believe in absolute founder sovereignty over proprietary business assets and creative works.
5.1 Founder IP Ownership
- You retain 100% exclusive ownership of your pitch decks, confidential metrics, product source code, trademarks, patents, and business ideas uploaded to VenturLoop.
- By publishing a public profile, you grant VenturLoop a non-exclusive, royalty-free, worldwide license strictly to display, format, and distribute your public profile on our platform and marketing discovery feeds.
5.2 VenturLoop Platform IP
- All software code, UI designs, layout systems, algorithms, trademarks, logos, and platform documentation are the exclusive intellectual property of VenturLoop Technologies Private Limited.
- You may not reverse-engineer, decompile, scrape, copy, or replicate any portion of the VenturLoop application without express written authorization.
6. Acceptable Use, Community Conduct & Anti-Scraping
Users must adhere to high standards of professional integrity. The following activities constitute material breaches of these Terms:
6.1 Prohibited Activities
- Unlawful or Infringing Content: Posting copyrighted materials, trade secrets without authorization, defamatory statements, or deceptive fraudulent listings.
- Automated Scraping & Crawling: Scraping, harvesting, or extracting founder contact details or venture datasets via automated bots without an official API key.
- Platform Manipulation: Artificially inflating upvotes, fabricating community reviews, or attempting to game platform discovery algorithms.
- Malicious Code & Security Probing: Deploying viruses, initiating DDoS attacks, or scanning platform vulnerabilities without prior written bug bounty authorization.
7. Paid Guidance Services & Payment Terms
All optional paid guidance reviews and live pitch practice bookings are subject to clear billing protocols:
7.1 Pricing & Invoicing
- Currency & Taxes: Fees are displayed in Indian Rupees (INR ₹) or US Dollars (USD $) and are subject to applicable Goods and Services Tax (GST) or regional digital taxes.
- Payment Processing: Transactions are handled through PCI-DSS Level 1 compliant payment partners (Razorpay / Stripe). We never store raw debit/credit card numbers.
- Fulfillment Window: Digital pitch deck evaluations are completed and delivered within 3-5 business days of verified submission.
8. Disclaimer of Warranties & Limitation of Liability
VENTURLOOP SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
8.1 Liability Cap
- To the maximum extent permitted by applicable law, VenturLoop Technologies shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data loss, or business disruption.
- In all circumstances, our total cumulative liability arising out of or relating to your use of the platform shall not exceed the greater of ₹5,000 INR or the total amount paid by you to VenturLoop in the preceding 3 months.
9. Indemnification & Service Suspension
You agree to defend, indemnify, and hold harmless VenturLoop Technologies, its directors, officers, employees, and agents from any claims, liabilities, losses, damages, and legal costs arising from: (a) your violation of these Terms; (b) any content, pitch deck, or data you submit; or (c) your infringement of third-party intellectual property or privacy rights.
10. Governing Law, Jurisdiction & Dispute Resolution
These Terms shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India, without regard to conflict of law principles.
10.1 Exclusive Legal Jurisdiction
- Any legal claim, suit, or proceeding arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts situated in Bengaluru, Karnataka, India.
- Informal Resolution: Prior to filing any formal legal action, parties agree to attempt in good faith to resolve any dispute through informal written notice for a minimum period of 30 calendar days.
